Reseller Agreement
This agreement describes the terms and conditions for participation in the Tyler Industries, LLC Reseller Program. The terms "affiliate," "you," and "your" are referring to you, the applicant. "We" and "our" refer to Tyler Industries L.L.C
AGREEMENT DURATION
This agreement will begin upon our acceptance of your signing of this agreement, and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination.
LIMITED LIABILITY
Tyler Industries, LLC is not responsible for any damage that might be caused to your customer’s computer components or any other property due to incorrect use or misuse of our products.
ORDER/PRICING PROCESSING
The affiliate will be solely responsible for processing every order placed by your customer on your own web site. Customers who purchase products and services through the reseller program will be deemed to be customers of yours. You must support all end users regarding any information about the product, use of the product, or RMA of the product.
Prices and availability of our products and services may, vary from time to time. Our policies will always determine the price paid by the reseller. Tyler Industries LLC will set base pricing on all its products, and you the reseller agree not to sell our products below our recommended price. All products must clearly state recognition of its branded name. We reserve the right to reject any order that does not comply with our rules, operating procedures and policies.
WEBSITE RESTRICTIONS
Tyler Industries, LLC reserves the right to limit access to any website for misuse of the site and its information. Reseller accounts are designed to simplify the ordering process of our resellers, these accounts are to be used only by the reseller and it employees. Misuse of this account will be result in the termination of your reseller privileges.
MEDIA CONTENT
Tyler Industries, LLC is happy to supply media (pictures, specs, and descriptions of its products), with the stipulation that the reseller will take whatever means necessary to protect the media with watermarks or other software to deter the misuse. Tyler Industries, LLC releases the rights to you the reseller to create your own pictures based on our products as long as the branded name is displayed somewhere in the product description/ name.
DISCLAIMER
This Agreement will be governed by the laws of the United States and the State of New Mexico, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in New Mexico, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
You acknowledge that you have read the reseller agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
